Terms of Use

The following general terms and conditions of business (the “Terms of Use and Participation”) of WOOP operated by Advocaci Marketing B.V. located at Wibautstraat 131D, 1091 GL, Amsterdam, a company registered in the Netherlands, stipulate the legal conditions and requirements for your:

  • Registration as a member of the WOOP community

  • Use of the WOOP community online platform at www.woopworld.co.uk including any subpages (the “WOOP Platform”) and of the information, applications and services offered on this platform (the “Services”); and

  • Application for and participation in campaigns offered to you by WOOP to enable you to test and rate products (the “WOOP campaigns”) of participating businesses (the “Campaign Partners”). Please read the following Terms of Use and Participation before you register on the WOOP Platform, use our Services and apply for participation in WOOP campaigns.

References on the WOOP Platform and in these Terms of Use and Participation to “we”, “us”, “our”, etc. are references to WOOP. Users registered as members of the WOOP community are hereinafter referred to as “Members”, and Users who have been selected for participation in specific WOOP campaigns are hereinafter also referred to as “Participants”.

Please note that in order to register and become a Member of the WOOP community, and to take part in WOOP campaigns, you must be aged 18 or over.

These Terms of Use and Participation govern your contractual relationship with WOOP with respect to your:

  • registration on the WOOP Platform and Membership of the WOOP community,

  • use of the WOOP Platform and of the Services, and

  • application for and participation in WOOP campaigns

  1. In order to use the WOOP Platform and the Services offered on it, and take part in WOOP campaigns, you must be a Member of the WOOP community. To become a Member, you need to register on the WOOP Platform and create an account (the “WOOP Account”).

  2. Your registration is governed by the following terms and conditions:

    • Registration on the online platform is free and does not put the Member under an obligation to take part in WOOP campaigns. WOOP is under no obligation to register the Member and free to accept a registration or not.

    • Registration is open only to persons aged 18 or over.

    • Each member must have a residential address in the United Kingdom and a verified email address or UK mobile phone number;

    • Every Member is required to provide complete, accurate and truthful information on registration. The information provided on registration must be kept complete, accurate and up to date throughout the Membership period. For details about the collection, processing and use of the information you provide, please see our Privacy & Cookie Policy.

    • Each Member may create and use only one WOOP Account in his or her own name. Multiple registrations and/or registrations on behalf of third parties are not allowed. Members must not allow others to use their WOOP Account.

    • Each Member is assigned the password chosen on registration. Members must ensure their password is kept confidential and secure from disclosure to third parties. Members shall notify WOOP without undue delay of any unauthorised use of the WOOP Platform through their WOOP Account.

    • Each Member understands and agrees that if his or her WOOP account is terminated due to a breach of the Member agreement, you will lose the right to participate in the Service. Interpretation of what constitutes a breach of these Terms shall be at the sole discretion of WOOP;

    • Each Member must inform WOOP of any change in their contact details, including email address and street address. Contact details and preferences must be updated using the facility provided on the Platform.

    • You will not send unsolicited email or any other form of communication, electronic or otherwise (SPAM) to promote the Service;

    • You will not post material that contains indecent, defamatory, menacing, offensive or unlawful content, or otherwise which may, in WOOP’s opinion, bring WOOP, the Platform or the Service into disrepute;

    • If a Member breaches any of the obligations set out above, WOOP expressly reserves the right to remove any or all of the accounts registered by that Member and to ban him or her from re-registering on the WOOP Platform.

  3. You must accept these Terms of Use and Participation to submit your registration request. You will be prompted to do so during the registration process. Receipt of your registration request will be confirmed by electronic means.

  4. After you have created your WOOP Account, you will receive a confirmation email to the address you have supplied to verify your email address and activate your personal WOOP Account. To activate your WOOP Account, please follow the instructions in this email. Upon activation of your WOOP Account by WOOP, a contract will be established between you and WOOP on the basis of these Terms of Use and Participation (the “Member Agreement”).

  1. All registered Members may use the WOOP Platform and the Services offered on it. This includes, without limitation, taking part in campaigns, completing surveys or product ratings, leaving comments or other postings, submitting content or joining online discussions with other Members. The Services are provided to you by WOOP. If we incorporate any third-party services, these will be expressly identified as such. Such services may be governed by additional terms of use or privacy policies which we will inform you of.

  2. Use of the WOOP Platform and of the Services is limited to private, non-commercial purposes only (i.e. to purposes which can, for the most part, be regarded as being outside the Member‘s commercial or self-employed professional activities).

  3. All Members have an obligation to abide by applicable law, to respect the rights of third parties and to be courteous and respectful to other Members in using the WOOP Platform and the Services offered on it and in all interactions with other Members.

  4. The submission of content by Members is in addition governed by section 14 of these Terms of Use and Participation

  1. WOOP offers registered Members the opportunity to apply for participation in WOOP campaigns via the WOOP Platform and – if they are selected for participation in a specific WOOP campaigns in accordance with these Terms of Use and Participation – to try, buy, give feedback on, and rate products or services in specific WOOP campaigns.

  2. Participation in WOOP campaigns is voluntary and free of charge.

  3. Each WOOP campaign may be limited to a number of Members only who must meet certain criteria set for the respective target group by the Campaign Partner whose products are featured in the WOOP campaign concerned. Therefore, the selection of Participants will be based inter alia on these criteria, but is otherwise at the free discretion WOOP. There is no entitlement to participation in a particular WOOP campaign. Legal remedies are excluded.

  4. WOOP reserves the right to exclude selected Participants from a WOOP campaign in case they are in breach of these Terms of Use and Participation or any additional specific campaign terms and conditions for the WOOP campaign concerned.

  5. You can join and participate in WOOP campaigns via the WOOP Platform. Campaigns open for a limited number of participants or specific criteria may be required to fill in a screening application. These questions must be completed truthfully and may vary depending on the product. For details about the collection, processing and use of the information you provide in your applications, please see our Privacy & Cookie Policy.

  6. If you are selected as Participant for a WOOP campaign, you will receive an additional email from us to the email address you have supplied to confirm your participation. Only then, a contract will be established between you and WOOP on the basis of these Terms of Use and Participation and, if applicable, any specific campaign terms and conditions (the “Campaign Agreement”).

  7. It might be that one or more of the campaigns invite a selected group of Members and provide them with products of a specific Campaign Partner for testing or certain specific product information made available to them. Members are encouraged to test, rate and recommend the products and/or to familiarise themselves with the product information. In no way are the selected Members obliged to use or rate the test product.

  8. Some WOOP campaigns require the test products to be returned. Members will be explicitly advised of any obligation to return the products when they apply to participate in the WOOP campaigns. Test products that were made available to Members for testing for a limited time (specifically for the duration of the WOOP campaign) may be used by Members for this limited time only and must be sent back to the stated address without undue delay after this period has elapsed. If the duration of use is not specified, the test product must be returned without undue delay upon request. WOOP will bear the costs for return shipping, unless expressly agreed otherwise within the scope of the campaign Agreement. Further details,if applicable, are governed by the additional specific campaign terms and conditions for the WOOP campaign concerned, which shall take precedence over these general Terms of Use and Participation in cases of conflict.

  9. WOOP reserves the right to reject any new Member application from any person with or without cause in its sole discretion. WOOP reserves the right to terminate a Member's account if the Member provides false or misleading Membership information at any time or otherwise is considered to be a breach of the Terms of Use and Participation at any time. Members acknowledge that under no circumstances shall WOOP be liable for any damages or loss, howsoever occasioned, by its rejection of, or the termination of a Member’s account.

  10. WOOP also reserves the right to communicate with Members from time to time with updates about WOOP campaigns, or for other reasons and for no reward, including system updates; bulletins; administrative announcements; and special requests. Such notices may be sent via email,or regular mail, or SMS.

  11. WOOP members will be entitled to use the points collected from WOOP missions to redeem certain rewards from WOOP campaigns, as per the following conditions:

    • Members of WOOP are responsible to ensure that their profiles are updated with their complete email addresses, postal addresses, and mobile numbers.

    • Rewards and prizes to be awarded to Members will be delivered to the email addresses or postal addresses specified in their account profiles, depending on the type of reward redeemed.

    • Each Member understands and agrees that where WOOP has a draw for prizes, each draw will be governed by the official terms of that draw as notified from time to time on the Platform. Rewards and prizes in favour of the relevant Member will be delivered to the address specified in their account profile. Prizes are not transferable to any other person.

    • WOOP will not be responsible for circumstances where rewards and prizes are failed to be delivered to Members. However, in circumstances where the courier companies return the rewards or prizes to the registered office of WOOP, Members are given 60 days from date of notification to personally collect their rewards or prizes from the registered office of WOOP. All rewards and prizes are forfeited if the Member fails to collect their prizes after 60 days of redemption.

    • Under no circumstances will WOOP be responsible to return back points to Members or be liable for damaged or lost goods managed by third parties. WOOP may also exchange rewards and prizes depending on product availability.

    • E-coupons redeemed are subject to the terms and conditions of the third-party providers.

  12. Should Members fail to log in to their WOOP accounts for 90 consecutive days, the points of members may expire without giving notice to the Members.

As part of the Platform and the Service, Members may be presented with promotions, gifts, and testing ads from Campaign partners as “Third Party Promotions”.All Third Party Promotions are paid for or authorized by the advertiser and do not represent an endorsement or recommendation by WOOP or its affiliates, or their directors or employees. Any dealings with any advertiser as a result of Third Party Promotions, including the delivery of and the payment for goods and services, and any other terms, conditions, warranties or representations associated with such dealings or promotions, are solely between the relevant Member and the advertiser or other third party. Members hereby agree that WOOP will not be held responsible or liable for any part of any such dealings.

WOOP is aware of the need to protect your personal data and are dedicated to protecting Members’ privacy in collecting, processing and using personal data. For details about the handling of personal data in WOOP, please see our Privacy & Cookie Policy.

You have the right to request for access to and correction of your information held by us and in this respect, you may:

  1. All content of the WOOP Platform made available to you by WOOP or the Campaign Partners, including text, designs, graphics, logos, icons, images, audio files, downloads, interfaces, codes and software and any part or combination of the foregoing, and all other documents and materials (hereinafter collectively referred to as “Material”) are protected by copyright and/or trademark laws and other applicable laws in favour of WOOP and/or its licensors and may be used only in accordance with the terms and conditions laid down by WOOP and in compliance with applicable law.

  2. You may download or print the Material on the WOOP Platform for the purpose of obtaining information about products and services of WOOP, and use and process such Material in line with the requirements and guidelines applicable to your participation in a specific WOOP Campaign, provided that you do not change or delete any copyright, trademark or other proprietary notices from the Materials you view, download or print. WOOP may restrict or revoke this right of use at its sole discretion at any time. Any commercial use of the Material – including, without limitation, its reproduction, transformation, distribution, communication or making it publicly available for commercial purposes – without the consent of the relevant rights holder is expressly prohibited. All other rights in the Material, including all intellectual and industrial property rights associated therewith, remain with WOOP and/or its licensors.

  3. All trademarks, logos and other marks shown on the WOOP Platform are registered and unregistered marks of WOOP, its licensors and, if applicable, other third parties. All rights in these trademarks, logos and other marks are the exclusive property of their respective owners. The grant of rights to use any trademarks, logos and other marks used on the WOOP Platform requires the prior written consent of the respective owners, and nothing on the WOOP Platform or in these Terms of Use and Participation should be construed as granting any licence or right to use any trademarks, logos or other marks used on the WOOP Platform.

  4. WOOP reserves all rights in and to the WOOP Platform and its content not expressly mentioned herein.

  1. Availability of the WOOP Platform and of the Services

    • The WOOP Platform is provided by WOOP free of charge and at its sole discretion. You have no right to claim access to the WOOP Platform or any of the Services or functions of the WOOP Platform.

    • WOOP has the right to alter and/or to discontinue (in whole or in part) the WOOP Platform or Services offered on the WOOP Platform at its sole discretion at any time.

    • The WOOP Platform or any of the Services may be temporarily unavailable due to technical issues. Even as participants in a WOOP campaign, Members have no claim to permanent availability of the WOOP Platform and the Services of WOOP. WOOP is not responsible, and accepts no liability, for uninterrupted and fault-free access to the WOOP Platform and/or the Services.

    • Members must ensure themselves at their own cost that they have the necessary technical requirements to use the WOOP Platform and the Services of WOOP, including, without limitation, the necessary hardware and software (e.g. an Internet browser) as well as access speed and data transmission speed. WOOP accepts no liability for the compatibility of the WOOP Platform and of the Services offered on the WOOP Platform with your specific hardware and software environment.

  2. Accuracy, completeness, lawfulness and recency of information and Content on the WOOP Platform

    • WOOP is not responsible, and accepts no liability, that the statements, data and/or other information provided through the WOOP Platform (hereinafter referred to as “Information”) are at all times accurate, complete and up-to-date. The Information provided on the WOOP Platform is for general information only and should neither be regarded as a reliable source nor as the sole basis for decisions. If you rely on Information on the WOOP Platform, you do so at your own risk. Please note that Information on the WOOP Platform may be obsolete. We reserve the right to amend the Information on the WOOP Platform at any time, but have no obligation to verify or update the Information on the WOOP Platform. It is your responsibility to monitor any changes to the Information on the WOOP Platform.

    • WOOP further does not accept any responsibility that the Content generated and submitted by Members of the WOOP Platform is accurate, complete and up-to-date; this is the sole responsibility of the Member concerned. In particular, WOOP is not responsible for ensuring that the Content generated by Members of the WOOP Platform complies with applicable laws and is free of any third-party rights. WOOP is unable to fully control and regularly review all Member-submitted Content on the WOOP Platform. WOOP does not adopt such Content as its own and expressly dissociates itself from any views and opinions expressed in such Content which may not necessarily reflect the views of WOOP.

  3. Links to external websites

    • Our offer includes links to external websites of third parties whose content is outside our control. We can therefore not accept any responsibility for such third-party content. These links are offered to you as a service and provided merely as a reference to third-party websites which may contain further relevant Information. However, all Content on linked sites is the sole responsibility of the party offering such Content or the operator of the linked website at all times. WOOP does not review all the Information made available on such third-party websites. WOOP is also unable to monitor the Content of linked websites on a regular basis. The reference to those websites does not mean that WOOP adopts the Content on these websites as its own. WOOP expressly dissociates itself from any views or opinions expressed on these websites which may not necessarily reflect the views of WOOP. WOOP is not liable for any loss, damage or other harm resulting from the use of linked websites.

  1. The material displayed on the Platform is provided without any guarantees, conditions or warranties as to its accuracy. To the extent permitted by law, WOOP hereby expressly excludes for its own benefit and for the benefit of its clients:

    • All conditions, warranties and other terms, which might otherwise be implied by statute, common law or the law of equity.

    • Any liability for any direct, indirect or consequential loss or damage incurred by any Member in connection with the Platform or the Service, or in connection with the use, inability to use, or results of the use of the Platform or the Service, any Linked Websites and any materials posted on it, including, without limitation any liability for:

      • loss of income or revenue;

      • loss of business;

      • loss of profits or contracts;

      • loss of anticipated savings;

      • loss of data;

      • loss of goodwill;

      • wasted management or office time; and

      • for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable, provided that this condition shall not prevent claims for loss of or damage to Member’s tangible property or any other claims for direct financial loss that are not excluded by any of the categories set out above

  2. WOOP shall not be obliged to issue any reward or prize that relates to, or arises out of misuse or abuse of the Platform or to any person who has supplied false or misleading personal information.

Members hereby agree to indemnify WOOP, its related bodies corporate and clients, their officers and employees, from and against all actions, claims, suits, demands, damages, liabilities, costs or expenses, including legal fees, arising out of, or in any way connected to the use of the Platform or information or content published therein; their use of the Service or by someone using the Member’s username and password (whether or not authorised by the Member); their inability to use the Platform; or a breach of the Terms of Use and Participation either by the Member or by any person using the Member’s username and password (whether or not authorised by the Member).

  1. Members may terminate their WOOP-account at any time by using the facility provided on the platform. If a Member’s email address becomes invalid or unusable WOOP will suspend that Member’s account for a period of 30 days from the time we become aware of the problem. During the period of suspension, the Member will be able to access their account to update the Member’s email address. Other than a notification on the Platform, WOOP will not be responsible for notifying Members that their account has been suspended.

  2. WOOP reserves the right to terminate a member account without notice or cause, at its sole discretion or for any reason, including if:

    • Member’s account has been suspended for more than 30 days;

    • Member has failed to log in to the Platform for a period of more than 3 continuous months;

    • Member has breached the Terms of Use and Participation;

    • WOOP believes that any conduct by a Member is deemed to be detrimental to the business interests or reputation of WOOP; or

    • Any action has been taken by a Member that harms or potentially harms WOOP or its relationships with its Members, suppliers, affiliates, clients, partners and/or providers of Third Party Promotions.

  3. If WOOP terminates a Member’s Membership, that Member’s access to the Platform and the Service will also cease. Once a Member’s Membership has been terminated by WOOP, that former Member will be ineligible to re-enroll at any future date.

  1. Members must not misuse the Platform by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. Members must not attempt to gain unauthorised access to the Platform, the server on which the Platform is stored or any server, computer or database connected to the Platform. Members must not attack the Platform via a denial-of-service attack or a distributed denial-of service attack. If a Member engages in such conduct, their right to use the Platform will cease immediately.

  2. Members will report any such conduct to the relevant law enforcement authorities and Members hereby agree to co-operate with those authorities by disclosing their identity to them and providing all reasonable assistance in relation to the inquiries of such authorities.

  3. WOOP will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect Member’s computer equipment, computer programs, data or other proprietary material due to use of the Platform or to a Member downloading of any material posted on it, or on any website linked to the Platform.

  1. Generally, any word or device to which is attached the TM or ® symbol is a trademark, which are owned either by us or a third party (including a client). For example, the name “WOOP”, woopworld, woop.world are trademarks of WOOP.

  2. If you use any of WOOP’s trademarks in reference to WOOP’s activities, products or services, you must include a statement attributing that trademark to WOOP. You must not use any of WOOP’s trademarks:

    • in or as the whole or part of your own trademarks;

    • in connection with activities, products or services which are not WOOP’s;

    • in a manner which may be confusing, misleading or deceptive;

    • in a manner that disparages WOOP or our information, products or services (including this Platform).

  3. You must seek permission to use a third party trademark directly from the owner of those trademarks.

  1. Members acknowledge and agree that the Service and the Platform contain or incorporate proprietary and confidential information that is protected by applicable intellectual property and other laws. Members may make a copy of the content for their own personal, non-commercial use only, provided that they keep all copyright and other proprietary notices intact. However, Members must, on notice by WOOP, return or destroy any such copies made.

  2. As part of the Service and the Platform, Members may submit different types of content, such as reviews, images, audio and video files, comments or blog contributions (hereinafter collectively referred to as “Content”), to WOOP and publish them.

  3. Members agree and warrant that all material submitted to the Platform or as part of the Service is the Member’s original work and shall not submit any content:

    • that is known to be false, inaccurate or misleading;

    • that infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;

    • that violates any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);

    • that is, or may reasonably be considered to be, defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or unlawfully harassing to any individual, partnership or corporation;

    • for which you received payment or other consideration from a third party or which constitutes commercial Content for the purpose of advertising your own or third-party offerings;

    • that includes any information that references other websites, addresses, email addresses, contact information or phone numbers;

    • that contains any computer viruses, worms or other potentially damaging computer programmes or files.

  4. For any content that is submitted, Members grant WOOP and its Campaign Partners at their sole discretion, a perpetual, irrevocable, royalty-free, transferable right and license to use, copy, modify, delete in its entirety, adapt, publish, translate, create derivative works from and/or sell and/or distribute such content and/or incorporate such content into any form, medium or technology throughout the world without compensation.

  5. None of the content that Members submit shall be subject to any obligation of confidence on the part of WOOP, its clients, its agents, subsidiaries, affiliates, partners or third-party service providers and their respective directors, officers and employees.

  6. Members may request for justified reasons (e.g. in case of termination of your Membership from the Platform) that WOOP delete the Content Members have published.

  1. The Terms of Use and Participation are governed by the High Court in London.

  2. You accept that any disputes about the Service, the Platform or its contents are to be determined by the courts having jurisdiction in the United Kingdom in accordance with the laws in force in the United Kingdom (except any principle of conflict of laws inconsistent with this requirement).

  3. This Platform may be accessed throughout the United Kingdom and overseas. WOOP makes no representation that the content of this Platform, or the Service, complies with the laws (including intellectual property laws) of any country outside the United Kingdom. If you access this Platform from outside the United Kingdom, you are responsible for ensuring compliance with all laws in the place where you are located.

  1. WOOP reserves the right to amend these Terms of Use and Participation at any time with effect for the future. The amended terms will be published on the WOOP Platform, and Members will have the option to agree to them when logging in to the WOOP Platform the next time. Any changes will take effect on the date indicated by WOOP.

  2. If a Member does not agree with the changes, he or she may terminate his or her Membership in accordance with clause 11 of these Terms of Use and Participation at any time. In this case, the performance of any continuing campaign Agreements shall be governed by the Terms of Use and Participation as in force before the changes that prompted the Member to terminate his or her Membership took effect.
